Terms of Purchase

These Terms of Purchase govern all purchases made through soulsparkconsulting.com and any related sales channels operated by SoulSpark Coaching & Consulting, an Oregon limited liability company (“SoulSpark,” “we,” “us,” or “our”). By placing an order, completing checkout, or otherwise engaging our services or products, you (“you,” “Client,” or “Customer”) agree to these Terms.

Please read these Terms carefully before completing your purchase. If you do not agree with any part of these Terms, please do not complete your order.

1. Products and Services Offered

SoulSpark offers the following categories of products and services through its website:

  • One-on-one coaching services, including, but not limited to, ADHD coaching, somatic coaching, and leadership coaching.

  • Group coaching programs, including the ADHD Group Coaching Program and other live cohort-based offerings.

  • Digital products, including workshops, downloadable planners, lead magnets, and other digital materials.

  • Consulting services and custom engagements arranged separately by written proposal or contract.

Specific deliverables, session counts, durations, and inclusions are described on the product or service listing at the time of purchase. The listing in effect at the time you complete checkout governs your order.

2. Eligibility and Account Information

By making a purchase, you represent that you are at least 18 years of age and have the legal capacity to enter into this agreement. You agree to provide accurate, current, and complete information at checkout, including your legal name, email address, and payment details. You are responsible for keeping this information up to date.

3. Pricing, Taxes, and Currency

All prices are listed in U.S. dollars (USD) and are exclusive of any applicable sales tax, which will be added at checkout where required by law. We reserve the right to change pricing at any time, but changes will not affect orders already placed and confirmed.

From time to time, we may offer promotional pricing, discounts, or scholarships. These offers are subject to the specific terms stated at the time of the offer and cannot be combined unless expressly stated.

4. Payment Methods and Authorization

SoulSpark accepts payment by credit card, ACH bank transfer, and Venmo. Venmo payments incur an additional 3% processing fee.

By submitting payment information, you authorize SoulSpark and its payment processors to charge the full amount due, including any applicable taxes and fees. You represent that you are authorized to use the payment method provided.

5. Payment Plans

Payment plans are available for select coaching services and group programs as indicated on the product listing. By selecting a payment plan at checkout, you agree to the following:

  • You authorize SoulSpark to charge each scheduled installment to your payment method on the agreed dates, without further notice.

  • You are responsible for maintaining a valid payment method on file for the duration of the payment plan.

  • If a scheduled installment fails, you will have seven (7) calendar days from the date of failure to provide an alternate valid payment method or cure the failed payment. If the payment is not cured within that window, SoulSpark may suspend services, withhold deliverables, and pursue the full remaining balance as immediately due.

  • Selecting a payment plan does not change the total amount owed for the program or service. The full purchase price is owed regardless of attendance, completion, or continued participation, except as expressly provided in the Refunds and Cancellation section below.

6. Order Confirmation and Delivery

Coaching Services (1:1 and Group)

After purchase, you will receive an order confirmation by email along with onboarding instructions, scheduling information, and (where applicable) a Client Coaching Agreement to review and sign. Your purchase of coaching services is also governed by the SoulSpark Client Coaching Agreement, which is incorporated by reference into these Terms. In the event of any conflict between these Terms and the Client Coaching Agreement, the Client Coaching Agreement controls with respect to the coaching relationship itself.

Digital Products

Digital products are delivered electronically by email or through a download link, typically within minutes of order confirmation. Delivery is considered complete when the link is sent to the email address provided at checkout. It is your responsibility to ensure the email address is correct and to check spam or promotions folders.

Group Coaching Programs

Group program access is granted on the schedule stated on the product listing. Registration may close before the program start date as indicated on the listing. You are responsible for attending live sessions according to the published schedule. To protect the safety and confidentiality of the group, SoulSpark does not record group coaching sessions, and replays are not available. If you miss a session, you remain responsible for the full purchase price.

7. Refunds and Cancellation

Our refund policy reflects the nature of each offering. Please review the section that applies to your purchase.

One-on-One Coaching Services

If you have prepaid for one-on-one coaching sessions and choose to terminate our coaching relationship, SoulSpark will refund the fees for unused sessions on a pro rata basis. For example, if you prepay for four sessions and use only three before terminating, you will receive a refund for the one unused session. Termination must be submitted in writing to [email protected].

Sessions cancelled or rescheduled with less than 24 hours’ notice, or sessions where you do not attend, count as completed sessions and are not refundable. All rescheduled sessions must be completed within 30 days of the originally scheduled session.

Group Coaching Programs

Group coaching programs require advance planning, cohort placement, and reserved facilitation time. Refunds are handled as follows:

  • Before the program start date: You may cancel for a refund up to seven (7) calendar days before the program start date. The refund will be issued in the original amount paid, less the non-refundable payment processing fee charged by our payment processor, Stripe (currently 2.9% plus $0.30 per transaction in the U.S.), which Stripe does not return to SoulSpark when a refund is issued.

  • Within seven (7) days of the program start date: 50% refund, less the non-refundable Stripe processing fee.

  • After the program has begun: All sales are final, and no refunds will be issued. If you selected a payment plan, all remaining installments remain due.

Cancellation requests must be submitted in writing to [email protected].

Digital Products

Due to the immediate-delivery nature of digital products, all sales of digital products are final and non-refundable once the download link has been sent or access has been granted. If you experience a technical issue accessing your purchase, please contact [email protected] within 14 days and we will work to resolve the issue.

Discretionary Refunds

In limited and exceptional circumstances, SoulSpark may, at its sole and absolute discretion, issue a refund or credit outside of the policies above. The decision to grant or deny any such request rests entirely with SoulSpark, is made on a case-by-case basis, and is not subject to appeal. Any refund or credit granted under this provision is a one-time accommodation only. It does not establish a precedent, create any obligation to grant similar refunds in the future, waive any provision of these Terms, or alter the application of the standard refund policy to any other purchase or client. SoulSpark will not be required to explain or justify its decision. 

8. Chargebacks

If you have a concern about a charge, please contact us first at [email protected] so we can address it directly. Initiating a chargeback or payment dispute without first attempting to resolve the matter with us is a breach of these Terms. In the event of a chargeback that is determined to be improper or fraudulent, you remain responsible for the full amount owed plus any related fees and reasonable collection costs.

9. Intellectual Property

All content delivered as part of any coaching service, group program, digital product, or workshop, including but not limited to curriculum, slide decks, workbooks, planners, recordings, frameworks, exercises, and written materials, is the intellectual property of SoulSpark Coaching & Consulting and is protected by copyright and other applicable laws.

Upon purchase, you receive a personal, non-exclusive, non-transferable, revocable license to use these materials for your own personal or internal professional development. You may not:

  • Copy, reproduce, redistribute, sell, lease, lend, or sublicense any materials.

  • Record, screenshot, or share live session content without express written permission.

  • Use SoulSpark materials to create derivative works or competing products.

  • Share login credentials, links, or access with anyone outside your purchase.

Violation of this section may result in immediate termination of access without refund and may give rise to legal claims for damages and injunctive relief.

10. Confidentiality and Group Program Conduct

In group coaching programs, what is shared in the group stays in the group. By participating, you agree to keep the personal stories, struggles, and disclosures of other participants strictly confidential. You also agree to engage respectfully, to refrain from giving unsolicited clinical advice, and to follow any participation guidelines established by SoulSpark.

While SoulSpark sets and reinforces clear confidentiality expectations for all group participants, SoulSpark cannot control, guarantee, or be held responsible for the conduct of other participants, including any breach of confidentiality, unauthorized disclosure, or sharing of information by another participant outside of the group setting. You acknowledge this risk and agree to share within the group only what you are comfortable being shared. SoulSpark is not liable for any damages, distress, or harm resulting from another participant’s breach of confidentiality.

SoulSpark reserves the right to remove any participant whose conduct is disruptive, harassing, discriminatory, or otherwise incompatible with a safe group environment. Removal for cause does not entitle the participant to a refund.

11. Nature of Services and Disclaimer

SoulSpark coaching and consulting services are not, and should not be construed as, psychological or psychiatric counseling, therapy, medical care, mental health treatment, legal advice, financial advice, tax advice, business management, employment placement, or any other licensed professional service. Coaching is a forward-focused, goal-oriented partnership intended to support your personal and professional development.

If you need services in any of the areas listed above, including but not limited to mental health, medical care, legal matters, financial planning, tax preparation, or any other regulated profession, you are responsible for engaging an appropriately licensed professional. SoulSpark may, at its discretion, suggest that you consult such a professional, but the decision and responsibility to do so rest entirely with you.

Coaching results are not guaranteed. You enter the coaching relationship with the understanding that you are responsible for creating your own results, and you accept complete responsibility for your decisions, actions, and outcomes.

12. Limitation of Liability

To the fullest extent permitted by law, SoulSpark Coaching & Consulting, its members, employees, contractors, and affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your purchase or use of any product or service, including but not limited to lost profits, lost opportunities, or emotional distress.

In all cases, the total aggregate liability of SoulSpark for any claim arising out of or related to a purchase shall not exceed the amount you actually paid to SoulSpark for the specific product or service giving rise to the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless SoulSpark Coaching & Consulting and its members, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your breach of these Terms, your misuse of any SoulSpark materials, or your violation of any law or third-party right.

14. Dispute Resolution

In the event of any dispute arising out of or related to these Terms or any purchase, the parties agree to first attempt to resolve the matter informally by contacting [email protected]. If the dispute cannot be resolved informally within thirty (30) days, the parties agree to submit the matter to binding arbitration as the sole and exclusive means of resolution.

By agreeing to these Terms, the parties give up their rights to a trial by jury. The arbitrator shall be a retired federal judge or Oregon state court judge, or another qualified individual mutually agreed upon by the parties. The arbitration shall take place in Columbia County, Oregon. The arbitrator shall follow the Federal Rules of Civil Procedure and the Federal Rules of Evidence. Each party shall pay its own proportionate share of arbitrator fees and expenses.

Class Action Waiver

You and SoulSpark agree that any dispute will be resolved on an individual basis only. Neither party may bring or participate in any class, collective, consolidated, or representative action against the other, whether in court or in arbitration. The arbitrator shall have no authority to consolidate claims or to preside over any form of class or representative proceeding. If this class action waiver is found to be unenforceable as to any particular claim, then that claim, and only that claim, shall be severed from arbitration and brought in a court of competent jurisdiction.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of laws principles. The exclusive venue for any matter not subject to arbitration shall be in Columbia County, Oregon.

16. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms (other than the obligation to make payments) caused by circumstances beyond that party’s reasonable control, including but not limited to acts of God, natural disasters, severe weather events, fire, illness or incapacity of the coach, public health emergencies, pandemics, governmental orders, civil unrest, internet or telecommunications outages, third-party platform failures (such as Zoom or payment processor outages), and labor disruptions.

If a force majeure event prevents SoulSpark from delivering scheduled coaching sessions or group programming, SoulSpark will reschedule the affected sessions or programming as soon as reasonably practicable. Rescheduling under this section is not grounds for refund or termination, except where a session cannot be rescheduled within a reasonable period, in which case the refund provisions of Section 7 apply.

17. Testimonials and Results Disclaimer

Any testimonials, success stories, case studies, or examples of client outcomes that may appear on the SoulSpark website, social media, or marketing materials reflect the individual experiences of those particular clients and are not a guarantee, warranty, or prediction of the results you will achieve.

Coaching outcomes depend on many factors, including your individual circumstances, level of engagement, application of insights, and external conditions. Individual results vary, and SoulSpark makes no representation that you will achieve the same or similar outcomes.

18. Electronic Communications and E-SIGN Consent

By completing a purchase, registering for a program, or otherwise transacting with SoulSpark, you consent to receive communications and agreements from SoulSpark in electronic form, including by email, through online portals, or via the SoulSpark website. You agree that all agreements, notices, disclosures, receipts, and other communications that SoulSpark provides electronically satisfy any legal requirement that such communications be in writing.

You further agree that clicking “I Agree,” “Purchase,” “Complete Order,” or any similar acceptance button, or otherwise indicating assent through electronic means, constitutes your legally binding electronic signature under the federal Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. § 7001 et seq.) and the Oregon Uniform Electronic Transactions Act (ORS 84.001 et seq.). You have the same legal effect as a handwritten signature.

You may withdraw your consent to receive electronic communications by contacting [email protected], but doing so may prevent SoulSpark from delivering services to you and may be treated as a termination of the applicable agreement.

19. Changes to These Terms

SoulSpark reserves the right to modify these Terms at any time. The most current version will always be posted on the SoulSpark website with an updated Effective Date. For material changes that affect your rights or obligations, SoulSpark will make reasonable efforts to notify existing customers by email at least thirty (30) days before the changes take effect.

Changes apply to purchases made on or after the new Effective Date and do not retroactively change the terms of orders already placed. Your continued use of SoulSpark services or your placement of any new order on or after the new Effective Date constitutes your acceptance of the updated Terms.

20. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with the Client Coaching Agreement (where applicable) and the listing of the specific product or service purchased, constitute the entire agreement between you and SoulSpark with respect to your purchase, and supersede any prior or contemporaneous agreements or representations.
